Our firm offers counsel in a variety of corporate areas. Our clientele includes closely-held companies and companies with publicly-traded stock. All of our attorneys have broad expertise and extensive working knowledge of general corporate law. We provide services in the corporate area ranging from formation of corporations, partnerships and limited liability companies to taxation of corporate entities. Our attorneys have experience in rights and fiduciary obligations of directors and officers, as well as rights of shareholders. We provide counsel in the buying, selling and reorganization of corporate entities and other services and the corresponding tax considerations and effects. We provide legal representation at every step of corporate existence from formation and funding to the operation of the corporate entities themselves. We have considerable experience in contract negotiations and preparation of contracts for all types of corporate business, including but not limited to, employment contracts, supply contracts, distribution agreements, license agreements, franchise agreements, purchase and sale agreements, stock sale and redemption agreements, and shareholder agreements.
Our firm also offers a variety of legal services to financial institutions. We have assisted in the selling and purchasing of financial institutions. We have also provided legal services in reorganizing financial institutions. Our attorneys have expertise in banking transactions, and our firm has provided legal services to many financial institutions. We have provided services to financial institutions regarding the issuance of letters of credit, corporate debt refinancing, real estate transactions, industrial development bond financing, agricultural loans, corporate lending and other commercial and industrial financing. Our attorneys regularly advise financial institutions and their corporate trust departments on matters concerning trusts and estates. In addition to financial institutions, our attorneys regularly advise clients on alternative methods of financing for certain qualifying activities like industrial development bonds, both taxable and tax exempt, for manufacturing projects. Our firm also provides a variety of expertise in securities. Our attorneys have been counsel to issuers of tax exempt notes or bonds for municipal and industrial development. General Business
Our firm provides counsel to clients in selecting the appropriate entity for their intended business enterprise. Clients are provided with general services including formation of the entity selected, negotiation and preparation of contracts, negotiation of the terms of credit facilities, and negotiation and preparation of contracts for the lease or purchase of facilities for business operations. Our attorneys represent businesses in obtaining licenses and permits. Our attorneys have expertise in and have offered counsel to clients seeking recognition as a minority business enterprise for government contracts.
Mergers and Acquisitions
Our firm has an extensive corporate and business practice, and in the course of providing counsel to corporate clientele, our attorneys have gained broad experience in mergers and acquisitions. All of our attorneys have provided expertise in every phase of corporate mergers and reorganizations - from advising clientele on the appropriate method of reorganization to preparation of all documentation to ensure the desired tax treatment for the transaction. Our attorneys have also provided counsel in a variety of acquisitions, including commercial, banking, industrial and general businesses.
Probate and Estate Planning
Each of our attorneys has expertise in the field of taxation, and we provide estate planning services to our clients. Our firm has an extensive probate and estate planning practice. We provide clients with advice concerning the most effective method of preserving and protecting personal assets for future generations through estate planning. We prepare wills, trusts, and other instruments to implement each estate plan. We prepare all documentation for probate, and we have provided legal representation to personal representatives, trustees, financing institutions, heirs and estate creditors.
Taxation
Each of the attorneys in our firm has a master of laws degree in taxation. We offer comprehensive counsel in all areas of taxation. Our attorneys have expertise in ERISA, including qualified retirement plans, cafeteria plans, employee stock option plans, and individual retirement accounts. We provide individual and corporate income tax planning. All of our attorneys represent clientele in disputes with the Internal Revenue Service as well as state and local taxing authorities. We provide litigation services in defense of tax evasion or in pursuit of client’s rights or claims against the Internal Revenue Service and state and local taxing authorities. We also offer broad expertise in corporate and individual income taxation and in individual estate and gift taxation.
Tax Exempt Financing
Our firm offers expertise in tax exempt financing. One of the attorneys in our firm is a member of the National Association of Bond Lawyers and has acted as counsel for issuers, corporate lessees, underwriters and issuers of letters of credit in the issuance of tax exempt bonds for industrial development bonds. In addition, we offer counsel in municipal tax exempt financing for public offering and for private placement of qualified bonds.
