Mr. Hinesley is the managing shareholder of the firm. He holds a J.D. degree from Cumberland School of Law and an LL.M. in taxation from New York University. He is licensed to practice in the States of Alabama, Georgia and South Carolina.

Mr. Hinesley has extensive experience in commercial and industrial development. He represents commercial developers in a wide variety of commercial and industrial projects ranging from retail centers to commercial warehouses and manufacturing facilities. In addition, Mr. Hinesley represents developers of hotels and resorts and counsels clients in the development and management of these hospitality facilities.

Mr. Hinesley has experience in securities law, and his securities practice includes tax exempt financing where he regularly serves as bond counsel, issuer counsel, underwriter’s counsel or company counsel in public finance issues. He is a member of the National Association of Bond Lawyers. In the area of tax exempt financing, Mr. Hinesley has concentrated more on private activity issues for manufacturing facilities. He regularly counsels corporate clients, financial institutions, industrial development authorities, and other governmental entities in the use of tax exempt financing and credit enhancement for industrial purposes.

In selection and organization of business entities, Mr. Hinesley provides expertise in forming and representing corporations, limited liability companies, and partnerships. In addition, he provides advises and counsels corporate clients in a wide variety of business transactions, including mergers and acquisitions, alternative methods of project financing and tax planning.

Mr. Hinesley also has extensive experience in all types of real estate transactions, including residential, commercial and industrial development projects. He provides counseling for all aspects of real estate transactions from negotiation of the sale or purchase, through the development, financing and leasing of the project to its management. He is a title insurance agent for First American Title Insurance Company.

Mr. Hinesley represents retail oil jobber ships, electrical engineering firms, construction and development firms. He has expertise in multi-location transactions involving retail gasoline/convenience stores.

Mr. Hinesley also counsels individuals in estate planning matters, including drafting of wills and trusts, probating wills, administering decedents’ estates and asset management and preservation. He regularly represents clients in state and federal tax controversies in administrative and judicial forums, including the United States Tax Court and Federal and Alabama courts. Mr. Hinesley has represented clients in civil tax controversies as well as defended clients in criminal tax cases.
